Partner Terms of Service

These Terms govern your use of the Ghochen platform as a food partner. By creating a partner account, listing products, or otherwise using the partner services, you agree to be bound by these Terms.
This is a draft prepared for review by a UK-qualified solicitor and is not yet binding. Do not rely on it as final terms until it has been reviewed and you have been asked to accept it.
1. Definitions
- “Ghochen”, “we”, “us”, or “our” means Ghochen Limited, a company registered in England and Wales with registered office in Kingston upon Hull, United Kingdom.
- “You” or “Partner” means the person or legal entity that has registered a partner account on the Ghochen platform.
- “Platform” means the Ghochen marketplace and associated software, including the mobile apps, web dashboard, APIs, and any WhatsApp-based interfaces.
- “Customer” means a person who places an order through the Ghochen platform.
- “Content” means product listings, descriptions, images, and other material you upload.
- “Commission” means the percentage of each order that Ghochen retains as its platform fee, as disclosed at signup and on the Platform.
2. Eligibility
- You must be at least 18 years old and have legal authority to bind your business to these Terms.
- You must be operating a food business legally in the United Kingdom, including any required registrations with your local authority.
- You must hold valid public liability insurance with coverage no less than £2,000,000 per incident.
- You must hold a current Food Hygiene Rating of 3 (Generally Satisfactory) or above from the Food Standards Agency, where applicable.
- For prepared food, at least one person in your business must hold a Level 2 Food Safety certificate or equivalent.
3. Your account
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You must notify us immediately of any unauthorised access to or use of your account.
- You must keep your account information current, including business name, address, insurance details, and bank account information.
- You may authorise additional staff with defined roles. You are responsible for their actions on the Platform.
4. Product listings and Content
- You warrant that all Content you upload is accurate, not misleading, and compliant with UK law.
- You must declare all 14 regulated allergens correctly for every prepared food listing.
- You must provide ingredient information in compliance with Natasha’s Law (PPDS labelling) where it applies.
- You grant Ghochen a non-exclusive, worldwide, royalty-free licence to display your Content on the Platform and in Platform marketing, for the duration of your use of the Platform.
- You may not list items that are illegal to sell, that infringe third-party rights, or that we designate as prohibited.
5. Orders and fulfilment
When a Customer places an order, a contract for the sale of those items forms between you and the Customer. Ghochen acts as an agent facilitating the transaction, not as the seller.
- You are responsible for preparing orders to the stated quality, including allergen declarations and special instructions.
- You must accept or decline orders within 3 minutes of placement. Failure to respond results in automatic decline and a refund to the Customer.
- You must mark orders ready accurately so couriers arrive at the right time.
- If you cannot fulfil an accepted order, you must notify the Customer through the Platform and process a refund if appropriate.
6. Pricing, fees, and payments
- You set your own prices. Ghochen applies Commission and delivery fees as disclosed at signup and on the Platform.
- All prices must be inclusive of VAT where applicable. You are responsible for the correct VAT rate for each product.
- Ghochen uses Stripe Connect to process payments. You must complete Stripe onboarding and verification to receive payouts.
- Payouts are made weekly by default, covering the preceding week. Different schedules may be available subject to minimum volume thresholds.
- Ghochen may withhold payouts where we have reasonable grounds to suspect fraud, dispute, or breach of these Terms.
- You are responsible for all taxes arising from your sales, including VAT, income tax, and corporation tax, and for keeping adequate records.
7. Refunds and disputes
If a Customer has a valid complaint, for example wrong items, a food safety concern, or significant delay, Ghochen may issue a refund on your behalf. We will notify you and give you an opportunity to respond within 48 hours.
You bear your proportional share of the cost of refunds, chargebacks, and payment disputes relating to your orders. Your proportional share means the part of the order value paid, or that would have been paid, to you after Commission, delivery fees, and any other disclosed deductions. This applies whether the refund or dispute arises before or after a payout, and regardless of which party initiates or decides it.
Where you have not yet been paid your share, Ghochen will adjust the relevant payout. Where you have already been paid, Ghochen may recover your share by reversing all or part of the corresponding Stripe Transfer, which you authorise.
Where reversal cannot fully recover your share, for example because the original transfer is too old to reverse, the remainder becomes an amount you owe Ghochen. We may set off and deduct that amount from your current and future payouts, carrying any balance forward until it is cleared. We will make the running balance and the deductions visible to you in the Platform.
The clawback and recovery mechanics in this clause, including reversal of already-paid Stripe Transfers and negative-balance carry-forward, are drafted pending review by a UK-qualified solicitor for enforceability and fairness.
8. Non-circumvention
- You agree not to solicit or accept orders, directly or indirectly, from Customers who discovered your business through Ghochen outside of the Platform, for 12 months after their most recent order with you on the Platform.
- You will not include your phone number, email, postal address, or links to your own ordering channels in messages to Customers via the Platform.
- You will not include such contact information in product images, descriptions, or packaging inserts for Platform deliveries.
- Breach may result in commission clawback on off-Platform orders from affected Customers, suspension, and termination.
The scope and remedy of this clause are drafted pending solicitor review for enforceability and proportionality under UK law.
9. Food safety and compliance
- You are solely responsible for the safety and quality of the food you prepare and sell through the Platform.
- You must keep records adequate for traceability and recall, including supplier information, batch records where applicable, and temperature logs for chilled and frozen items.
- You must notify Ghochen immediately of any food safety incident affecting Platform orders.
- You authorise Ghochen to cooperate with Environmental Health Officers, the FSA, and other authorities as required, and to share relevant information where legally required.
10. Intellectual property
Ghochen retains all rights in the Platform, its software, databases, and trade marks. You retain all rights in your Content, and grant Ghochen the licence described in the listings clause.
11. Our role as intermediary
- Ghochen provides the Platform as a marketplace. We are not a party to the sale contract between you and the Customer.
- We do not manufacture, handle, or cook food, and we do not deliver food (delivery is provided by courier partners).
- Customer data shared with you may only be used to fulfil the specific order to which it relates.
12. Data protection
Each of us is a controller of personal data we hold about Customers for our respective purposes, and our respective UK GDPR obligations apply. Where Ghochen processes personal data on your behalf, a data processing agreement applies. You may not use Customer personal data for any purpose other than fulfilling the relevant order, and you may not add Customers to your own marketing lists without their separate consent.
13. Suspension and termination
- You may terminate these Terms at any time by closing your account, subject to fulfilling accepted orders and settling payouts.
- Ghochen may suspend or terminate your account immediately for material breach, sustained poor performance, fraud, or food safety concerns.
- On termination, we will pay you any amounts due, less any amounts owing to Ghochen, within 30 days.
14. Liability
- Nothing in these Terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
- Subject to the above, Ghochen’s total liability in any 12-month period is limited to the greater of the total Commission retained from your sales in that period, or £1,000.
- Ghochen excludes liability for indirect or consequential loss, loss of profit, goodwill, or data, except where not permitted by law.
- You indemnify Ghochen against claims arising from your breach of these Terms, your infringement of third-party rights through your Content, or food safety incidents caused by products you sell.
Liability caps and indemnity scope are placeholders pending solicitor review and adjustment to risk appetite and insurance coverage.
15. Changes to these Terms
We may update these Terms from time to time. We will give you at least 30 days’ notice of material changes. Continued use of the Platform after the notice period constitutes acceptance.
16. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
